We represent shareholders and creditors in collective defense proceedings, particularly in cases of bankruptcy or restructuring.

What We Do in Practice

Insolvency Proceedings

Assistance and Representation for Creditors

We assist and represent creditors in cases involving a company’s bankruptcy, receivership, judicial reorganization, or judicial liquidation. We handle the filing of claims, monitor the proceedings, and represent clients at creditors’ meetings.

Restructuring

Protection of Creditors' Interests

We represent creditors’ interests in restructuring transactions, going-concern plans, business divestitures, and mergers and acquisitions involving distressed companies. In such cases, we represent and negotiate on behalf of a group of creditors.

Conflicts Among Partners

Assistance for groups of creditors who have entered into a shareholders' agreement or wish to do so

We assist in drafting shareholder agreements and represent clients in disputes regarding their enforcement. We also handle disputes between shareholders.

Governance Crises

Intervention to Resolve Crisis Situations

Disputes among partners can lead to a full-blown governance crisis or even paralyze the company. We step in to resolve these disputes, either through negotiations or legal action, to enable the company to resume its normal operations.

FAQ

Frequently Asked Questions

What is the difference between a receivership, court-supervised reorganization, and judicial liquidation?

Protective proceedings are initiated at the request of a company that anticipates difficulties, particularly a state of insolvency. Judicial reorganization is initiated when a company is in a state of insolvency but still has prospects for recovery. Judicial liquidation is ordered when rehabilitation is clearly impossible: the company is then dissolved and its assets sold to satisfy the creditors.

What is the deadline for filing my claim in insolvency proceedings?

The deadline is two months from the publication of the order opening the proceedings in the Official Bulletin of Civil and Commercial Announcements (BODACC). This is a strict deadline: failure to meet it generally results in the claim being deemed inadmissible. It is therefore necessary to act quickly.
